Geoshare Terms of Use

Welcome to Geoshare! By accessing or using our app, services, and features (collectively, the “Service”), you agree to be bound by the following Terms of Use (“Terms”). By downloading, installing, or using Geoshare, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, please discontinue using the Service immediately.

2. Description of Service

Geoshare provides encrypted messaging and advanced location-sharing functionality for both personal and professional use. Our core features include:

3. User Eligibility

To use the Service, you must:

• Be at least 13 years old or meet the minimum age required by your jurisdiction.

• Agree to these Terms in full, without modification.

If using Geoshare on behalf of an organization, you represent and warrant that you have the authority to bind that entity to these Terms.

4. Account Registration and Security

• Users are required to create an account to access certain features of the Service.
• You are responsible for safeguarding your account credentials and any actions taken under your account.
• Notify us immediately of any unauthorized use or security breach involving your account.
• Geoshare will never request your password or personal information via email or other communication channels outside the app.

5. User Responsibilities

When using Geoshare, you agree to:

• Use the Service in a lawful and respectful manner.
• Not engage in any illegal activities, including but not limited to harassment, defamation, or sharing of inappropriate content.
• Refrain from using Geoshare for surveillance or to violate the privacy of others.
• Comply with all applicable local, state, and international laws, including data protection laws.

Geoshare reserves the right to suspend or terminate accounts found violating these Terms.

6. Privacy and Data Security

• Location Data: Geoshare allows for real-time location sharing within event-based scenarios. Your location data is encrypted and only accessible by you and those you choose to share it with during the event.
• Encrypted Communications: All chat and location-based communications are encrypted and inaccessible to Geoshare or any third party.
• Data Retention: We retain your data only as long as necessary to provide the Service and comply with legal obligations.

7. Prohibited Conduct

You agree not to:

• Use Geoshare for any unlawful purpose or in violation of any local, state, national, or international law.
• Misuse the app’s location-sharing functionality for stalking, harassment, or other inappropriate uses.
• Engage in unauthorized access, tampering, or attempts to reverse-engineer the app.
• Upload viruses or other malicious code.
• Exploit the Service for commercial purposes without express consent from Geoshare.

8. Intellectual Property

All rights, titles, and interests in and to the Service, including but not limited to text, images, software, and branding, are owned by Geoshare or its licensors. These materials are protected by intellectual property laws. You are granted a limited, non-exclusive, and revocable license to use the Service for personal or organizational purposes as described in these Terms.

You may not copy, modify, distribute, or create derivative works of any content or features of Geoshare without prior written consent.

9. Disclaimer of Warranties

Geoshare is provided “as is” and “as available” without any warranties, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. While we strive to provide a secure environment, we cannot ensure absolute security in all situations.

Geoshare disclaims any warranties of merchantability, fitness for a particular purpose, or non-infringement to the fullest extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, Geoshare shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use or inability to use the Service. In no event shall Geoshare’s total liability exceed the amount you paid for the Service (if any).

11. Indemnification

You agree to indemnify, defend, and hold harmless Geoshare, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

• Your use or misuse of the Service.
• Your violation of these Terms or applicable laws.
• Your violation of any third-party rights.

12. Changes to the Terms

Geoshare reserves the right to modify these Terms at any time. We will provide notice of any significant changes, typically through a notification in the app. Your continued use of the Service after the changes take effect constitutes your acceptance of the new Terms.

13. Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without cause, for violations of these Terms or other reasons, including legal or security concerns.

Upon termination, you must cease using the Service and uninstall the app. Any provisions of these Terms that, by their nature, should survive termination (such as intellectual property, disclaimers, and limitations of liability) will remain in effect.

14. Governing Law and Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of Nevada, United States. Any disputes arising out of or relating to these Terms of the Service shall be resolved through binding arbitration, unless prohibited by law.

15. Miscellaneous

• Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Geoshare regarding the Service.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

17. Confidentiality Agreement for Early Access Users

If you are granted access to Geoshare during the Early Access phase, you agree to adhere to the following confidentiality obligations:

1. Non-Disclosure:
   You must not discuss, display, or share any details about Geoshare, including but not limited to its features, functionalities, design, or operation, with individuals who are not authorized users of Geoshare.
   
2. Restricted Media Sharing:
   You are prohibited from capturing, sharing, or distributing any screenshots, photographs, videos, or audio recordings of Geoshare through any medium, including electronic or physical means.
   
3. Prohibition on Public Sharing:
   You must refrain from posting, publishing, or making statements about Geoshare or its features publicly on any online platforms, social media, instant messaging, chat groups, blogs, forums, sms, or any other electronic or non-electronic format.
   
4. Duration of Obligations:
   These confidentiality obligations remain in effect until Geoshare officially announces the conclusion of the Early Access phase or issues a written statement releasing you from these terms.
   
5. Consequences of Breach:
   Any violation of this clause may result in the termination of your access to Geoshare and potential legal action to protect Geoshare’s intellectual property and competitive advantage.

By accessing Geoshare during the Early Access phase, you acknowledge and agree to comply with these confidentiality obligations in their entirety.
